1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Auki Productions Ltd ("Auki," "we," "us," or "our"), governing your use of our services, including smart event solutions, corporate branding, professional printing, office supplies, and facility support services.

If you are entering into these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.

2. Our Services

Auki Productions provides the following services:

Service availability, specifications, and pricing may vary. We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice.

3. Orders & Payment

3.1 Placing Orders

• All orders must be confirmed in writing (email, quote acceptance, or purchase order)
• Quotes are valid for 30 days unless otherwise stated
• We reserve the right to decline any order at our discretion
• Order confirmation does not guarantee availability until payment is received

3.2 Payment Terms

• A 50% deposit is required to commence work on most projects
• Balance payment is due upon completion, before delivery
• Corporate clients may request credit terms subject to approval
• We accept bank transfer, mobile money (M-Pesa, Tigo Pesa), and cash

3.3 Cancellation & Refunds

• Cancellation requests must be made in writing
• Deposits are non-refundable once production has commenced
• Refunds for defective products are subject to inspection and approval
• Custom/personalized items cannot be refunded

5. Intellectual Property

Client Materials: You retain ownership of all materials, logos, and content you provide to us. By providing such materials, you grant us a license to use them solely for the purpose of fulfilling your order.

Our Designs: Original designs created by Auki remain our intellectual property until full payment is received. Upon payment, design ownership transfers to the client unless otherwise agreed in writing.

Portfolio Rights: We reserve the right to photograph and feature completed projects in our portfolio and marketing materials unless you request otherwise in writing.

6. Quality & Complaints

We are committed to delivering high-quality products and services. If you are not satisfied with your order:

• Complaints must be raised within 7 days of delivery
• Defective items must be returned in original condition for inspection
• We will repair, replace, or refund at our discretion for valid claims
• Minor color variations in printing are normal and not grounds for complaint

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Republic of Tanzania. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Tanzania.

9. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the modified Terms.
